T1ps.com Subscriber and Registered User Agreement

1. PARTIES:

"T1ps.com" means T1ps.com Ltd, a trading subsidiary of Rivington Street Holdings, owner of AIM and PLUS Deal Monitor. "You" means the person specified as the user in the registration form or electronic subscription form on the website or hard copy subscription form held on our files.

2. TERMS & CONDITIONS:

You wish to obtain access to services provided under the name The AIM & PLUS Deal Monitor.

3. COPYRIGHT AND YOUR RIGHTS:

Copyright and all other intellectual property rights subsisting in www.dealmonitor.co.uk website and each and every piece of information provided (the "Information") is owned by T1ps.com or the providers of such information (the "Data Providers"). You may use Information retrieved from the Services only for your own personal non-commercial use which means that you may not sell, resell, retransmit or otherwise make the Information retrieved from the Services available in any manner or on any media to any third party unless you have obtained T1ps.com's prior written consent.

4. PAYMENT:

You agree to pay any fee for any of the Services that you use which are not free of charge. T1ps.com will notify you in all cases if the service you are trying to access is not free and give you the opportunity to choose to pay for such a service. Unless by oprior written agreement you agree that the subscription is ongoing and you will be invoiced every 12 months unless you send t1ps.com notice of cancellation in writing. Where you have chosen to make payment by credit card or cheque, the fees are payable in advance.

5. USER NAME AND PASSWORD:

You are responsible for all use of the Services made using your username and password, whether or not the use is made by you or someone else using your username and password. You are responsible for protecting and securing your username and password from unauthorised use. If you believe there has been a breach of security of your username you should notify T1ps.com. If it becomes apparent that more users are using the product than the current subscription package allows, you understand that t1ps.com shall in its discretion assume the highest level of subscription package and charge you for the difference.

6. YOUR INFORMATION:

Rivington Street Holdings is a limited company incorporated in England and is registered under the Data Protection Act. All personal information you supply to T1ps.com will be treated in accordance with that Act. T1ps.com will itself collect and use information you supply to T1ps.com in order to operate and enhance the Services.

T1ps.com will not pass your information on to any other person except as follows: T1ps.com may forward information you supply to certain Data Providers in order to allow you to gain access to the restricted parts of certain Data Provider's Information, or in order to inform certain Data Providers of your address if you have requested information to be sent to you by post, or to Data Providers or Service Providers is you have requested services which require payment. If you can be identified from such information then T1ps.com will not forward such information without having notified you first and obtained your permission. In the case of credit card payments for services, or requests for non-electronic documentation, this permission will be deemed to have been given when you fill in the necessary forms on the T1ps.com investor site. You may edit the information supplied at any time and have the information you supplied deleted from T1ps.com's records if the agreement is terminated. You will update your information if it changes.

You agree that we may disclose to FSA and to any other regulatory authority to which we are subject and to any stock exchange on which your transactions may be executed, or to any person empowered to require such information by or under any legal enactment, any information they may request or require relating to you or our Services under this agreement. You agree that neither we nor any person connected with us owe any duty to disclose to you or use for your benefit any fact, matter or thing which comes to the notice of ourselves or any person connected with us, or of any employee, director or agent of ours or any person so connected, in the course of providing investment services to others or in the event that such disclosure or use would be a breach of duty or confidence to any other person.

7. AVAILABILITY OF INFORMATION:

T1ps.com reserves the right to change the content, presentation, performance, user facilities and availability of any part of the Services at its sole discretion. It is your responsibility to refer to the changes. They will come into effect immediately on posting. T1ps.com investor does not warrant any connection, transmission over, security of or results from the use of any network connection or facilities provided (or omitted to be provided) in connection with the Services.

8. RISK WARNING:

The Services and the Information are only for your general information and use and are not intended to address your particular requirements. In particular, the Services and Information do not constitute any form of advice or recommendation by T1ps.com and are not intended to be relied upon by users in making (or refraining to make) any specific investment or other decisions. Appropriate independent advice should be obtained before making any such decision. Any arrangement made between you and any third party named in the Services is at your sole risk and responsibility. For your information we would like to draw your attention to the following investment warnings. The price of units, funds and the income derived from them can go down as well as up, and investors may not get back the amount they invested. Past performance is not necessarily a guide to future performance. It may be difficult for you to sell or value certain investments or to obtain reliable information about their value or the extent of the risks to which they are exposed. Where the Information consists of pricing or performance data, the data contained therein has been obtained from company reports, financial reporting services, periodicals, and other sources believed reliable. Although carefully verified, data computations are not guaranteed by T1ps.com or any of the Data Providers or affiliates and may not be complete.T1ps.com is regulated by the FSA.

9. COMPLAINTS:

If you have any complaint about our performance under this Agreement you should direct that complaint to our Compliance Officer, who will investigate the nature of your complaint to try to resolve it. In respect only of a complaint relating to the Services, if you are dissatisfied with the outcome of our investigation, you may ask for the FSA's Complaints Bureau to investigate your complaint if it is within its terms of reference.

10. ACCURACY OF INFORMATION:

Neither T1ps.com nor any of its Data Providers or affiliates make any warranties expressed or implied, as to the accuracy, adequacy, quality or fitness for any particular purpose of the Information or the Services for a particular purpose or use and all such warranties are expressly excluded to the fullest extent that such warranties may be excluded by law. T1ps.com, its Data Providers and affiliates, may or may not hold investments in the funds, management companies and / or brokerage firm securities referred to in the Information and Services. You bear all risks from any uses or results of using any Information. You are responsible for validating the integrity of any Information received over the Internet.

11. INDEMNITY:

You irrevocably indemnify T1ps.com and its Data Providers and affiliates from and against any and all losses, damages and costs suffered or incurred by T1ps.com investor, any Data Providers or affiliates of whatsoever nature arising out of or in connection with your use, provision or distribution of Information or any part or the Services or any part or otherwise howsoever arising in relation to any breach of this Agreement by you. In respect of the Services, this indemnity shall not apply to any loss or liability to the extent that it arises or results from any contravention of the FSA rules or of the FS Act.

12. HYPERTEXT LINKS:

T1ps.com provides hypertext links to sites on the Internet which are operated by other people. Using an external hypertext link means that you may be leaving T1ps.com's site and T1ps.com investor therefore takes no responsibility for and gives no warranties, guarantees or representations in respect of linked sites.

13. LIABILITY:

Due to the number of sources from which T1ps.com obtains content and the nature of electronic distribution via the word wide web neither T1ps.com nor any of its Data Providers nor affiliates have any liability (whether in contract or tort) for any losses, costs or damages resulting from or related to use of or inability to use any Information contained in the Services or the provision of the Services to the fullest extent to which such liability may be excluded or avoided by law and in no event shall T1ps.com be liable to you for lost profits or for indirect, incidental, special, punitive or consequential damages arising out of or in relation to the Services or the provision of Information. T1ps.com makes no warranty that the Service is year 2000 compliant or free from infection by viruses or anything else that has contaminating or destructive properties. In respect of the Services, this provision shall not exclude or restrict any duty or liability which we have in relation to you under the FSA rules or any liability which we may incur under the FS Act or under the FSA rules in respect of a breach of any such duty.

14. CONFLICTS OF INTEREST:

Your attention is drawn to the fact that in respect of the T1ps.com Services, we, a connected company or some other person connected with us may have an interest, relationship or arrangement that is material in relation to the investment or transaction concerned or could give rise to a conflict of interest (for example, we could be arranging transactions on behalf of or in the name of any company involved in the transaction or we may hold a position in the investment or a related investment) and you agree that we shall not be required to disclose it to you and that there will be no obligation to account to you for any profit provided we do not contravene the FSA rules in relation to the transaction. Our employees are required to comply with a policy of independence and disregard any such interest, relationship or arrangement when providing investment services.

15. ASSIGNMENT:

This agreement and any rights of access (password and username) to any Service provided to you may not be assigned, licensed or otherwise transferred by you to any other person without the prior written consent of T1ps.com. You agree to keep your password confidential.

16. COMPLETE AGREEMENT:

These terms and conditions together with the duly completed registration form and payment method instructions, if any, are the whole agreement between you and T1ps.com. You acknowledge that you have not entered into this agreement in reliance upon any warranty or representation made by T1ps.com. T1ps.com may from time to time make changes to these terms and conditions and payment rates.

17. GENERAL:

Any notice from T1ps.com to you may be delivered by e-mail or post to you at your last known address. Evidence of posting (either electronically or otherwise) shall be taken as evidence of delivery. This agreement shall be governed by English Law. All disputes arising from or in connection with this agreement shall be subject to the non-exclusive jurisdiction of the English Courts. If any term of this agreement is held to be illegal or unenforceable the validity and enforceability of the remainder shall continue in full force and effect. The provision in question shall be replaced by a valid and enforceable term which corresponds, so far as possible, with the original. Failure by either party to exercise any right or remedy under this agreement does not constitute a waiver of that right or remedy. All disclaimers, indemnities and exclusions in this agreement shall survive termination of this agreement. Neither you nor T1ps.com shall be held liable for any loss or failure to perform any obligation hereunder due to causes beyond your or their respective reasonable control. This agreement replaces all terms and conditions previously applicable to the provision of the Services or any of them.

18. CANCELLATION POLICY:

Subscriptions to newsletters and services are payable in advance. Refunds for unexpired portions of subscriptions are not available.
